Who Has to File an Annual Report in Kansas?
The state of Kansas requires the following types of businesses to file an annual report:
- For-profit corporations
- Not-for-profit corporations (including electric cooperatives)
- Limited Liability Companies (LLCs)
- Limited Liability Partnerships (LLPs)
- Limited Partnerships (LPs)
Annual reports are filed with the Kansas Secretary of State. These documents are made available to the public in compliance with the Kansas Open Records Act (K.S.A. 45-215 through K.S.A. 45-223).
What Information Is Included in a Kansas Annual Report?
Annual reports include some basic information about a business including:
- Business entity ID number (not the Federal Employer ID Number)
- Name of entity (as it appears on the records of the Kansas Secretary of State)
- Principal office address (not required on some forms)
- Tax closing date of the business
- Names and addresses of officers, partners, directors, members, owners, and/or shareholders (depending on the type of business entity)
In addition, the form must be signed by an authorized person. The signature affirms, under penalty of perjury, that the information on the report is correct.
Each type of business structure has its own annual report form, with unique reporting requirements, so make sure you’re using the right one when filing. Electric cooperatives have their own dedicated form: EC 50.
