To start a corporation or limited liability company (LLC) in Los Angeles, business owners must formally register their new enterprise with the state. But forming a business isn’t a “one-and-done” task—there are additional filing requirements that must be complied with on a periodic basis if the organization is to remain in good standing with the state of California. One of the most important types of filings is the Statement of Information.
In California, the Statement of Information is essentially equivalent to what many states call an annual report. Its purpose is to ensure that certain information associated with a particular business is kept up to date. A company’s Statement of Information is filed with the California Secretary of State’s office and made available to the public on request.
If you own a business in Los Angeles, it is vitally important to ensure that your State of California Secretary of State Statement of Information is filed in a timely manner. FastFilings can help you with that. We serve businesses throughout the greater Los Angeles area, including Irvine, Huntington Beach, Riverside, Santa Clarita, and Long Beach.
With FastFilings’ online ordering system, there’s no easier way to fulfill your obligation to file a Statement of Information in Los Angeles. To begin, you just need to spend a few minutes typing in some basic business information, and we’ll take over from there.
A California Statement of Information simply lists certain basic pieces of data pertaining to a specific business; it should not be confused with a financial statement. Data listed on a Statement of Information includes:
The exact registered name of the business
The Secretary of State File Number of the business (7 or 12 digits)
Street address of the business (and mailing address, if different)
Name and address of Chief Executive Officer
Name and address of other officers (corporations) or managers/members (LLCs)
Name and address of the California Agent for Service of Process
Name and address of the director (Stock and Agricultural Cooperative Corporations only)
A brief description of the type of business or services
The person who fills out the form must sign it to affirm that all information it contains is correct.
There are two distinct Statement of Information forms: Form SI-550 is for corporations; Form LLC-12 is for limited liability companies. Be sure that you use the form that applies to your business.
When to File a Los Angeles Statement of Information
The filing schedule is partly determined by the type of business you operate:
Corporations – Must file within 90 days of registering with the Secretary of State, and every year afterward.
LLCs – Must file within 90 days of registering with the Secretary of State and every two years afterward.
The specific time that the Statement of Information in Los Angeles must be filed is based on the month in which the organization was registered with the state. In every year that the Statement of Information is due, there is a six-month window in which you can send it. The window ends on the last day of the month in which your business was registered, and extends back six calendar months.
For instance, if your business was registered any day in December, you can send in your CA Statement of Information any time in the six-month period of July 1 to December 31. (This schedule does not apply to your very first Statement of Information, which must be filed within 90 days of registering your business.)
If you run a corporation or an LLC in Los Angeles, a Statement of Information is required of you.
Los Angeles corporations must file a Form SI-550. This includes:
California stock corporations
Foreign corporations registered in California
California agricultural cooperatives
Los Angeles limited liability companies must file a Form LLC-12. This includes:
California LLCs
Registered foreign LLCs
In order to file, Los Angeles businesses must have active or suspended/forfeited status on the Secretary of State’s records.
Apart from filing a CA Secretary of State Statement of Information according to the schedule described above, organizations are required to file when any changes are made to information included on the statement.
If no informational changes have been made since the last filing, corporations can file a Statement of No Change (Form SI-550 NC), while LLCs can file a Statement of Information – No Change (Form LLC-12NC).
Failure to file a Statement of Information in Los Angeles can lead to serious penalties, such as fines imposed by the state Franchise Tax Board and suspension or forfeiture of your business.
