A CA Secretary of State Statement of Information lists various facts associated with a specific business:

  • The registered name of the business
  • The Secretary of State File Number 
  • The business street address
  • The business mailing address (if different from street address)
  • Name & address of Chief Executive Officer

When to File a Statement of Information in Sacramento

Your business is required to file an initial Statement of Information within 90 days of the formation of the entity. Afterward, the filing schedule depends on the type of business structure you have:

  • Corporations – File every year.
  • LLCs – File every two years.

What time during the year are you expected to send in your Sacramento Secretary of State Statement of Information? That is determined by the month in which your business was registered. On any year your Statement is due, you can send it in on any day of your registration month, or any day of the preceding five months.

Who Must File a Sacramento Statement of Information?

Corporations and LLCs operating in Sacramento—or any other area in the state—are required to file a Statement of Information according to schedule. This requirement applies to California-based and foreign organizations alike. It also extends to agricultural cooperatives active in the state. 

In order to file a Sacramento Statement of Information, an organization must have active or suspended/forfeited status with the state.

If nothing has changed between required filings, the organization has the option to use a “No Change” filing (Form LLC-12NC for LLCs; Form SI-550 NC for corporations). Note that organizations are also required to file a Statement of Information as soon as any applicable information has changed (e.g., a new CEO).
